MEMBERSHIP RULES & OPERATIONAL PROCEDURES

1. INTRODUCTION

Ace ✦ Jets is a private membership ecosystem created for founders, executives, investors, operators, family offices, public figures, and other qualified individuals seeking a more controlled and efficient approach to private aviation, strategic relationships, and reputation infrastructure.

Unlike traditional charter platforms, Ace ✦ Jets operates as a curated membership environment designed around access, discretion, operational efficiency, and long-term relationship value. Membership is intentionally selective and capacity-limited in order to preserve the quality of the community and the overall member experience.

These Membership Rules and Operational Procedures establish the standards, expectations, processes, and operational guidelines applicable to all members, applicants, guests, and participants within the Ace ✦ Jets ecosystem.

Membership is considered a privilege rather than a right. Acceptance into the programme does not create any guarantee of continued participation, future access, event eligibility, aviation availability, or membership renewal.

2. MEMBERSHIP PHILOSOPHY

Ace ✦ Jets was established on the belief that access alone is no longer a differentiator. Private aviation, introductions, and opportunities are widely available through numerous channels. What matters is the quality of access, the people surrounding it, and the manner in which it is delivered.

The platform is therefore designed around curation rather than volume. Every aspect of the ecosystem, including membership approvals, aviation opportunities, events, partnerships, and experiences, is structured to maintain a high-trust environment for members.

Members are expected to contribute positively to the culture of professionalism, discretion, integrity, and respect that defines the Ace ✦ Jets community.

3. MEMBERSHIP TIERS

Ace ✦ Jets may offer multiple membership categories, including Preferred Membership, Black Membership, and Signature Membership.

Each tier may include varying levels of access to aviation opportunities, concierge services, member experiences, Network In The Air events, reputation-related services, priority support, and other programme benefits.

Membership features may evolve over time as the platform grows. Ace ✦ Jets reserves the right to modify, expand, reduce, replace, or discontinue any membership feature, benefit, privilege, or programme component at any time.

Descriptions appearing on the website, membership materials, presentations, social media channels, advertisements, or communications are intended for informational purposes only and shall not constitute a guarantee of access or availability.

4. MEMBERSHIP APPLICATIONS AND APPROVALS

All membership applications are subject to review by Ace ✦ Jets.

As part of the evaluation process, Ace ✦ Jets may consider a variety of factors including professional background, business interests, intended platform usage, community alignment, operational considerations, reputational factors, security concerns, and overall programme capacity.

Applicants may be requested to provide identification documents, professional information, references, verification documentation, or other information reasonably necessary to evaluate membership suitability.

Submission of an application does not guarantee acceptance. Ace ✦ Jets may approve, deny, postpone, or place applicants on a waiting list at its sole discretion and is not obligated to disclose the reasons for any membership decision.

5. MEMBERSHIP CAPACITY AND WAITLISTS

In order to preserve the quality of the membership experience, Ace ✦ Jets may limit the total number of active members at any time.

Membership availability may be influenced by programme capacity, aviation availability, event participation limits, operational considerations, geographic concentration, community composition, and strategic business objectives.

Applicants who are not immediately accepted may be placed on a waiting list. Placement on a waiting list does not create any contractual right to membership and does not guarantee future acceptance.

Ace ✦ Jets reserves the right to modify waitlist procedures, admission criteria, and membership capacity limits at any time.

6. MEMBER ACCOUNTS

Members are responsible for maintaining accurate and current account information at all times.

This includes contact information, payment information, identity verification records, passport information where applicable, travel preferences, emergency contacts, and any other information necessary for the delivery of Services.

Members are solely responsible for maintaining the confidentiality of their login credentials and for all activities occurring through their accounts.

Any suspected unauthorized use of an account must be reported to Ace ✦ Jets immediately.

7. AVIATION ACCESS AND BOOKING PROCEDURES

Members may request access to aviation opportunities made available through the Ace ✦ Jets ecosystem, including private charter flights, curated routes, seat-based opportunities, shared flights, empty-leg opportunities, and other aviation-related services.

All aviation requests remain subject to operator approval, aircraft availability, airport restrictions, regulatory requirements, weather conditions, maintenance considerations, crew availability, passenger verification requirements, and other operational factors beyond the control of Ace ✦ Jets.

A booking shall not be considered confirmed until all required approvals, documentation, and payments have been completed and written confirmation has been provided.

Members acknowledge that private aviation services are inherently dynamic and subject to operational changes that may affect schedules, routes, aircraft availability, pricing, and execution.

8. CONCIERGE SERVICES

Ace ✦ Jets may provide concierge services designed to assist members with aviation coordination, travel planning, event participation, hospitality arrangements, transportation requests, and other approved member services.

The concierge function is intended to simplify the member experience and provide a single point of coordination across various aspects of the platform.

While Ace ✦ Jets will make commercially reasonable efforts to accommodate member requests, concierge services do not constitute a guarantee that any particular request, reservation, arrangement, booking, or experience can or will be fulfilled.

All concierge services remain subject to availability, third-party cooperation, operational feasibility, and applicable limitations.

9. NETWORK IN THE AIR

Network In The Air is a signature Ace ✦ Jets programme designed to create meaningful interactions between carefully selected individuals through highly curated aviation experiences.

Participation is intentionally limited and may include founders, investors, executives, operators, creators, public figures, and selected members of the Ace ✦ Jets community.

Participation in any Network In The Air experience is by invitation or approval only and may be restricted based on membership tier, event capacity, security considerations, participant alignment, operational requirements, or other factors determined by Ace ✦ Jets.

Ace ✦ Jets does not guarantee attendance by any specific individual, investor, executive, founder, celebrity, speaker, or guest.

Members may be required to execute confidentiality agreements, non-disclosure agreements, liability waivers, participation agreements, and codes of conduct as a condition of participation.

10. MEMBER CONDUCT

The value of the Ace ✦ Jets ecosystem is derived in large part from the quality of its members and the trust maintained within the community.

Members are expected to conduct themselves professionally, respectfully, lawfully, and in a manner consistent with the standards of the programme.

Conduct that may result in disciplinary action includes harassment, discrimination, abusive behavior, threats, fraudulent activity, unlawful conduct, misuse of membership privileges, interference with operators, misuse of confidential information, solicitation inconsistent with programme objectives, or conduct that may adversely affect the reputation or operations of Ace ✦ Jets.

Ace ✦ Jets reserves the right to investigate any conduct it reasonably believes may violate these standards.

11. CONFIDENTIALITY

Members acknowledge that participation in Ace ✦ Jets may provide access to confidential information relating to other members, operators, business opportunities, investment discussions, events, partnerships, aviation opportunities, and strategic initiatives.

Members agree not to disclose, distribute, record, publish, exploit, or otherwise misuse confidential information obtained through the programme without proper authorization.

The confidentiality obligations described herein shall survive termination of membership and participation.

12. MEMBERSHIP REVIEW, SUSPENSION, AND TERMINATION

Ace ✦ Jets reserves the right to review, suspend, restrict, or terminate membership at any time where it reasonably believes such action is necessary to protect the interests of the programme, its members, operators, partners, staff, or brand.

Membership may be suspended or terminated due to conduct inconsistent with programme standards, violations of applicable agreements, payment disputes, chargebacks, security concerns, reputational risks, unlawful conduct, misuse of membership privileges, or any other circumstance deemed material by Ace ✦ Jets.

Termination shall not relieve a member of any obligations accrued prior to termination, including payment obligations, confidentiality obligations, indemnification obligations, or other contractual responsibilities.

13. PROGRAMME MODIFICATIONS

Ace ✦ Jets reserves the right to modify any aspect of its membership programme, policies, procedures, pricing structures, event formats, aviation access models, concierge services, benefits, eligibility requirements, or operational practices at any time.

Such modifications may become effective immediately upon publication or communication to members.

Continued participation in the programme following any modification shall constitute acceptance of the revised policies.
