TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Member,” “User,” “you,” or “your”) and Ace Reputations Inc., a California corporation operating the Ace ✦ Jets platform (“Ace ✦ Jets,” “Ace,” “Company,” “we,” “our,” or “us”).

By accessing the Ace ✦ Jets website, submitting a membership application, creating an account, purchasing a membership, requesting aviation services, participating in member experiences, attending events, using concierge services, or otherwise accessing any products or services offered by Ace ✦ Jets, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. INTRODUCTION

Ace ✦ Jets is a private membership platform designed to provide qualified individuals with access to aviation-related opportunities, concierge services, curated member experiences, networking initiatives, reputation-related benefits, and other premium offerings.

Ace ✦ Jets operates as part of Ace Reputations Inc. and may, from time to time, provide access to benefits associated with the broader Ace+ ecosystem.

Membership within Ace ✦ Jets is selective, limited, and subject to approval. Access to the platform, services, events, benefits, or experiences does not constitute a right and may be modified, restricted, suspended, or terminated at any time in accordance with these Terms.

2. NATURE OF SERVICES

Ace ✦ Jets is not an air carrier, aircraft operator, direct air carrier, charter operator, aviation broker, or aviation management company.

Ace ✦ Jets does not own aircraft, employ flight crews, operate flights, maintain aircraft, control aircraft operations, or provide air transportation services.

Rather, Ace ✦ Jets acts solely as a membership platform, concierge service, relationship infrastructure, booking facilitation layer, and customer experience platform.

Any air transportation services made available through Ace ✦ Jets are provided exclusively by independent third-party operators, aviation providers, charter companies, aircraft owners, or licensed aviation partners.

Members acknowledge and agree that Ace ✦ Jets does not control flight operations and shall not be responsible for any operational decisions, delays, cancellations, aircraft substitutions, routing changes, weather events, maintenance issues, crew availability issues, safety determinations, or regulatory actions affecting any flight.

3. ELIGIBILITY

Access to Ace ✦ Jets is limited to individuals who are at least eighteen (18) years of age and who possess the legal capacity to enter into binding agreements.

Membership applications are subject to review, screening, approval, and verification procedures determined solely by Ace ✦ Jets.

Submission of an application does not guarantee acceptance.

Ace ✦ Jets reserves the unrestricted right to accept, reject, postpone, deny, limit, suspend, revoke, or terminate any application or membership for any lawful reason or for no stated reason at all.

Membership availability may be limited. Ace ✦ Jets may establish waiting lists, invitation requirements, qualification criteria, or approval standards at any time.

Applicants acknowledge that membership opportunities are selectively allocated and may remain unavailable even after an application has been submitted.

4. MEMBERSHIP PROGRAMS

Ace ✦ Jets may offer various membership tiers, including but not limited to Preferred Membership, Black Membership, and Signature Membership.

Each membership tier may include different privileges, benefits, limitations, eligibility requirements, service levels, booking opportunities, event access rights, reputation-related offerings, concierge support, or aviation-related opportunities.

Membership descriptions published on the website, marketing materials, membership decks, social media platforms, presentations, or communications are intended solely for informational purposes and shall not be interpreted as guarantees of availability, inventory, experiences, outcomes, or access.

Ace ✦ Jets reserves the right to modify, expand, reduce, discontinue, replace, suspend, or restructure any membership tier or benefit at any time.

Memberships are personal in nature and are issued solely to the approved member. Memberships may not be transferred, sold, assigned, sublicensed, pledged, gifted, or otherwise conveyed without the prior written consent of Ace ✦ Jets.

5. MEMBERSHIP FEES

Membership fees may be offered on monthly, annual, multi-year, invitation-only, enterprise, or custom pricing structures as determined by Ace ✦ Jets.

All membership fees are subject to change at any time.

Members agree to maintain accurate and current payment information throughout the duration of their membership.

Where recurring billing has been authorized, Ace ✦ Jets may automatically charge the designated payment method for membership renewals, applicable taxes, service fees, administrative fees, convenience fees, or other charges associated with membership participation.

Failure to maintain valid payment information may result in suspension or termination of membership privileges.

Membership refunds, credits, extensions, or adjustments shall be determined by Ace ✦ Jets on a case-by-case basis and in its sole discretion. Nothing contained herein shall obligate Ace ✦ Jets to issue any refund, credit, or reimbursement.

6. FLIGHT REQUESTS AND AVIATION SERVICES

Ace ✦ Jets may facilitate access to charter opportunities, aircraft availability, aviation inventory, route inquiries, flight requests, seat-based opportunities, concierge coordination, booking assistance, travel-related communications, and other aviation-related services.

All flight opportunities remain subject to operator acceptance, aircraft availability, routing feasibility, airport restrictions, weather conditions, maintenance requirements, crew availability, safety considerations, governmental regulations, and other operational factors outside the control of Ace ✦ Jets.

A request for a flight shall not be deemed confirmed until accepted by the applicable operator and all required documentation, approvals, and payments have been completed.

Ace ✦ Jets does not guarantee aircraft availability, pricing, flight execution, routing approval, scheduling preferences, operator acceptance, departure times, arrival times, or any specific aviation outcome.

Members acknowledge that private aviation is subject to operational variables that may affect the availability, timing, execution, or pricing of services.

7. THIRD-PARTY OPERATORS

Members expressly acknowledge that all air transportation services are provided exclusively by independent third-party operators.

Such operators retain sole and exclusive responsibility for aircraft operations, pilot qualifications, crew management, maintenance standards, safety procedures, operational compliance, regulatory obligations, insurance requirements, flight scheduling, weather-related decisions, maintenance delays, cancellations, aircraft substitutions, passenger eligibility determinations, and all other matters relating to aircraft operation.

Ace ✦ Jets does not supervise, direct, control, employ, or manage any operator, pilot, crew member, aircraft owner, aviation provider, or charter company.

Accordingly, Ace ✦ Jets shall not be liable for any injury, death, property damage, delay, cancellation, missed connection, operational disruption, regulatory action, service failure, safety issue, accident, or loss arising from the actions or omissions of any third-party operator.

Members understand that their contractual relationship relating to the actual provision of air transportation may exist directly or indirectly with the applicable aviation provider, operator, aircraft owner, or aviation service company, and that Ace ✦ Jets’ role is limited to facilitation, coordination, concierge support, and membership-related services.

8. PAYMENTS, FEES, AND BILLING

Members acknowledge that certain services offered through Ace ✦ Jets may require separate payments in addition to membership fees, including but not limited to aviation bookings, concierge services, event participation, administrative services, travel-related services, upgrades, premium experiences, or third-party offerings.

Ace ✦ Jets reserves the right to charge administrative fees, facilitation fees, service fees, processing fees, convenience fees, concierge fees, membership fees, and other charges associated with the Services.

All pricing displayed through the Platform, communicated by representatives, or presented through proposals, quotations, estimates, or booking summaries shall be considered preliminary unless expressly confirmed in writing.

Members authorize Ace ✦ Jets and its authorized payment providers to process payments using the payment methods maintained on file.

Ace ✦ Jets reserves the right to suspend or restrict membership access, account privileges, booking privileges, event participation, or Services where payment obligations remain outstanding.

Any chargeback, payment reversal, disputed transaction, fraudulent payment activity, or unauthorized payment claim may result in immediate suspension or termination of membership and access privileges pending investigation.

Members shall remain responsible for all costs, fees, penalties, expenses, and collection costs associated with unpaid balances, disputed transactions, or chargebacks.

9. CANCELLATIONS, REFUNDS, AND MODIFICATIONS

Membership fees and aviation-related charges are governed by separate policies and may be subject to different refund structures.

Membership refunds, credits, extensions, adjustments, or goodwill accommodations may be granted solely at the discretion of Ace ✦ Jets and shall be evaluated on a case-by-case basis.

Flight bookings, charter services, aircraft reservations, seat-based opportunities, and aviation-related transactions remain subject to the cancellation, modification, credit, and refund policies established by the applicable operator.

Members acknowledge that private aviation providers frequently impose cancellation penalties, operational charges, repositioning costs, crew expenses, fuel commitments, and other costs that may impact refund eligibility.

Ace ✦ Jets does not control operator cancellation policies and shall not be responsible for refund decisions made by operators.

Where operational changes become necessary due to weather conditions, aircraft maintenance, regulatory requirements, airport restrictions, crew limitations, force majeure events, safety concerns, or operator decisions, members agree that Ace ✦ Jets shall not be responsible for resulting losses, expenses, or disruptions.

10. NETWORK IN THE AIR PROGRAM

Ace ✦ Jets may periodically organize, facilitate, coordinate, host, or promote curated member experiences known as “Network In The Air.”

These experiences may include private aviation experiences, member gatherings, curated discussions, networking opportunities, founder sessions, executive experiences, investor-focused events, invitation-only flights, and other private events.

Participation in Network In The Air is not guaranteed and shall remain subject to approval, availability, suitability assessments, security considerations, and membership status.

Participation may require execution of additional participation agreements, confidentiality agreements, non-disclosure agreements, liability waivers, codes of conduct, event-specific terms, identity verification requirements, and other documentation deemed necessary by Ace ✦ Jets.

Ace ✦ Jets makes no representation that any particular founder, investor, executive, celebrity, public figure, speaker, guest, operator, media personality, or participant will attend any event.

Guest lists, participant rosters, schedules, venues, aircraft, event formats, experiences, and event structures may change at any time without liability.

Members acknowledge that admission to any event may be denied or revoked at the sole discretion of Ace ✦ Jets.

11. ACE+ REPUTATION SERVICES

Certain membership tiers may include access to services associated with the Ace+ ecosystem operated by Ace Reputations Inc.

Such services may include reputation-related consulting, visibility strategy, authority development, digital positioning, media-related opportunities, search-related initiatives, online presence assessments, educational resources, concierge support, or related services.

Access to such services shall be determined by membership tier, eligibility, availability, onboarding requirements, and separate service agreements where applicable.

Ace ✦ Jets and Ace Reputations do not guarantee any particular outcome, including but not limited to media coverage, search rankings, knowledge panel creation, reputation enhancement, visibility improvements, business opportunities, investor introductions, partnership opportunities, traffic growth, lead generation, or financial results.

Members acknowledge that reputation-related services involve numerous external factors outside the control of Ace ✦ Jets and that all such services are provided on a best-efforts basis.

12. MEMBER CONDUCT

Membership within Ace ✦ Jets is intended to maintain a high-trust environment for members, operators, partners, guests, and staff.

Members agree to conduct themselves professionally, respectfully, lawfully, and in a manner consistent with the standards of the Ace ✦ Jets community.

Members shall not engage in fraudulent conduct, unlawful activity, harassment, discrimination, abusive behavior, threats, intimidation, misuse of membership privileges, interference with operators, unauthorized solicitation of members, misuse of confidential information, or conduct that may adversely affect the reputation or operations of Ace ✦ Jets.

Members further agree not to misuse aviation opportunities, circumvent operators introduced through the Platform, interfere with business relationships established through Ace ✦ Jets, or exploit membership access in a manner inconsistent with the intended purpose of the Services.

Ace ✦ Jets reserves the right to investigate any conduct that it believes may violate these Terms.

13. SUSPENSION AND TERMINATION

Ace ✦ Jets reserves the unrestricted right to suspend, limit, restrict, revoke, terminate, or deny membership, account access, booking privileges, event participation, concierge services, reputation-related benefits, or any other aspect of the Services at any time and at its sole discretion.

Such action may be taken where Ace ✦ Jets reasonably believes it is necessary to protect its members, partners, operators, employees, business relationships, reputation, intellectual property, security, or operational integrity.

Circumstances that may result in suspension or termination include, without limitation, payment disputes, chargebacks, fraudulent activity, unlawful conduct, regulatory concerns, criminal investigations, abusive behavior, repeated cancellations, reputational concerns, security issues, violations of these Terms, violations of event rules, misuse of membership privileges, submission of false information, or any conduct deemed inconsistent with the standards of the Ace ✦ Jets community.

Termination of membership shall not relieve a member of any outstanding payment obligations, confidentiality obligations, indemnification obligations, or other responsibilities accrued prior to termination.

Ace ✦ Jets shall have no obligation to reinstate any terminated membership.

14. WAITLISTS AND MEMBERSHIP LIMITATIONS

Membership availability may be restricted based on operational capacity, event capacity, aviation availability, geographic considerations, membership composition, security considerations, or strategic business decisions.

Ace ✦ Jets reserves the right to establish membership caps, waiting lists, invitation requirements, qualification standards, review procedures, and admission criteria.

Placement on a waitlist shall not create any contractual right to admission, access, priority, or membership.

Ace ✦ Jets may remove individuals from waitlists at any time and for any reason.

15. MEMBER REPRESENTATIONS

By using the Services, each member represents and warrants that all information provided to Ace ✦ Jets is accurate, complete, current, and truthful.

Members further represent that they possess the legal authority necessary to enter into these Terms and to engage in any transactions facilitated through the Platform.

Members agree to promptly update any information that becomes inaccurate or outdated.

16. PRIVACY, DATA COLLECTION, AND INFORMATION PROCESSING

Ace ✦ Jets collects, stores, processes, and utilizes information necessary to provide membership services, aviation-related services, concierge services, event participation, account administration, security verification, compliance procedures, and related business operations.

Such information may include, without limitation, names, contact information, government-issued identification documents, passport information, payment information, billing records, travel preferences, booking history, membership activity, account information, communications, device information, location-related information, and other information reasonably required to facilitate Services.

Members acknowledge that certain aviation services, bookings, events, and regulatory requirements may require the sharing of personal information with aviation operators, service providers, airports, governmental authorities, security providers, payment processors, verification providers, KYC providers, identity verification services, technology vendors, and other authorized third parties.

Ace ✦ Jets implements commercially reasonable administrative, technical, and organizational safeguards designed to protect personal information. However, no system, network, platform, transmission method, or storage environment can be guaranteed to be completely secure.

Members acknowledge and accept the inherent risks associated with electronic communications, digital storage, internet transmissions, and third-party technology services.

Additional information regarding data practices shall be governed by the Ace ✦ Jets Privacy Policy, which is incorporated herein by reference.

17. INTELLECTUAL PROPERTY

All trademarks, service marks, trade names, logos, designs, branding elements, website content, software, interfaces, visual assets, graphics, videos, written materials, marketing materials, membership materials, databases, systems, technologies, and intellectual property associated with Ace ✦ Jets, Ace+, and Ace Reputations Inc. shall remain the exclusive property of Ace Reputations Inc. and its licensors.

Nothing contained within these Terms shall be interpreted as granting any ownership interest, license, assignment, transfer, or intellectual property rights to any member except for the limited right to access and use the Services in accordance with these Terms.

Members shall not copy, reproduce, distribute, modify, reverse engineer, republish, sell, scrape, extract, exploit, or otherwise use any intellectual property belonging to Ace ✦ Jets without prior written authorization.

Any unauthorized use may result in immediate termination of membership and legal action.

18. CONFIDENTIALITY

Members acknowledge that participation in Ace ✦ Jets may provide access to confidential information relating to other members, aviation partners, operators, events, business opportunities, proprietary systems, pricing structures, strategic initiatives, and private experiences.

Members agree to maintain the confidentiality of any non-public information obtained through the Services and shall not disclose, publish, distribute, exploit, or misuse such information without proper authorization.

Ace ✦ Jets reserves the right to require execution of additional confidentiality agreements, non-disclosure agreements, event-specific confidentiality obligations, or privacy undertakings where appropriate.

These confidentiality obligations shall survive termination of membership.

19. DISCLAIMERS

The Services are provided on an “as-is,” “as-available,” and “with all faults” basis.

To the fullest extent permitted by applicable law, Ace ✦ Jets disclaims all warranties, representations, guarantees, and conditions of any kind, whether express, implied, statutory, or otherwise.

Ace ✦ Jets does not guarantee the availability of aircraft, routes, operators, flights, events, networking opportunities, reputation services, concierge services, member benefits, event participation, introductions, business opportunities, investment opportunities, strategic relationships, or any particular outcome associated with membership.

Ace ✦ Jets further disclaims any warranty regarding uninterrupted access, platform availability, error-free performance, service continuity, operational availability, event attendance, participant attendance, or business results.

Members acknowledge that private aviation, networking experiences, reputation-related services, and concierge offerings inherently involve variables beyond the control of Ace ✦ Jets.

20. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Ace ✦ Jets, Ace Reputations Inc., its affiliates, shareholders, directors, officers, employees, contractors, agents, representatives, partners, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or relating to the Services.

This limitation shall apply regardless of the theory of liability and regardless of whether Ace ✦ Jets has been advised of the possibility of such damages.

Without limitation, Ace ✦ Jets shall not be liable for lost profits, lost revenue, lost opportunities, business interruption, reputational harm, travel disruptions, missed meetings, missed opportunities, investment losses, relationship losses, event cancellations, flight cancellations, operator conduct, or third-party actions.

In all circumstances, the aggregate liability of Ace ✦ Jets shall not exceed the total amount paid directly to Ace ✦ Jets by the member during the twelve (12) months immediately preceding the event giving rise to the claim.

21. INDEMNIFICATION

Members agree to defend, indemnify, and hold harmless Ace ✦ Jets, Ace Reputations Inc., affiliates, shareholders, officers, directors, employees, contractors, representatives, partners, operators, and service providers from and against any claims, demands, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses arising from or relating to:

the member’s use of the Services; the member’s participation in events or experiences; the member’s violation of these Terms; the member’s unlawful conduct; the member’s interactions with operators or third parties; the member’s misuse of membership privileges; or the member’s infringement of the rights of any person or entity. This indemnification obligation shall survive termination of membership.

22. FORCE MAJEURE

Ace ✦ Jets shall not be liable for any delay, disruption, cancellation, interruption, or failure to perform resulting from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather events, acts of God, governmental actions, regulatory restrictions, public health emergencies, labor disputes, terrorism, civil unrest, war, utility failures, communication failures, technology outages, operator disruptions, airport restrictions, transportation disruptions, or other unforeseen events.

23. DISPUTE RESOLUTION

The Parties agree that any dispute, controversy, or claim arising out of or relating to these Terms, the Services, membership participation, bookings, events, reputation-related services, or any relationship between the Parties shall first be submitted to good-faith informal negotiations.

If a dispute cannot be resolved informally, the dispute shall be resolved exclusively through binding arbitration.

24. BINDING ARBITRATION

Any arbitration shall be administered in the State of California by a recognized arbitration provider selected by Ace ✦ Jets.

The arbitration shall be conducted by a single arbitrator.

The arbitrator shall have exclusive authority to determine all issues relating to the interpretation, applicability, enforceability, formation, and validity of these Terms.

Judgment upon any arbitration award may be entered in any court of competent jurisdiction.

The Parties knowingly waive any right to trial by jury.

25. CLASS ACTION WAIVER

Members agree that any dispute shall be brought solely in an individual capacity.

Members expressly waive any right to participate in class actions, class arbitrations, representative actions, collective proceedings, private attorney general actions, or any similar proceeding involving multiple claimants.

No arbitration shall be consolidated with any other proceeding without the written consent of Ace ✦ Jets

26. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

To the extent any dispute is permitted to proceed in court, the Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in California.

27. MODIFICATIONS TO TERMS

Ace ✦ Jets reserves the right to amend, update, revise, modify, or replace these Terms at any time.

Updated Terms shall become effective immediately upon publication unless otherwise stated.

Continued use of the Services following publication of revised Terms constitutes acceptance of the revised Terms.

28. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the Parties relating to the Services and supersede all prior discussions, communications, understandings, proposals, representations, and agreements relating to the subject matter herein.
